End User License Agreement (EULA)

1. Acknowledgment & Parties

You and ZEALDS LLC acknowledge and agree that:

• This EULA is concluded solely between you and ZEALDS LLC, and not with Apple Inc. (“Apple”) or Google LLC (“Google”);
• ZEALDS LLC is solely responsible for the Licensed Application and the content thereof;
• The rules governing your use of the Licensed Application comply with Apple's App Store Terms of Service and Google Play Terms of Service.

2. Scope of License

ZEALDS LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Licensed Application on any Apple-branded or Android-powered device that you own or control, strictly in accordance with the Usage Rules set forth in the Apple Media Services Terms and Conditions or the Google Play Terms of Service.

You may not redistribute, sell, rent, lease, sublicense, copy (except as permitted by this license), reverse engineer, decompile, or create derivative works of the Licensed Application.

3. Maintenance and Support

ZEALDS LLC is solely responsible for providing maintenance, customer assistance, and technical support services with respect to the Licensed Application.

You acknowledge that neither Apple nor Google has any obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application. For questions or technical support, please contact support@skinlyst.ai.

5. In-App Purchases, Subscriptions & Storefronts

If you purchase premium auto-renewing subscriptions (“Skinlyst Pro”) within the Licensed Application:

• Payment is charged to your Apple ID or Google Play account at purchase confirmation;
• Subscriptions auto-renew unless canceled at least 24 hours prior to the conclusion of the active period;
• Your account will be charged for renewal within 24 hours before the end of the current billing cycle;
• You can manage or cancel your subscription by visiting your Apple or Google account settings after purchase;
• Any unused portion of a free trial period is forfeited when purchasing a subscription.

6. Warranty & Apple Disclaimer

ZEALDS LLC is solely responsible for any product warranties, whether express or implied by law. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application.

7. Product Claims & Liability

You acknowledge that ZEALDS LLC, and not Apple or Google, is responsible for addressing any claims of the End-User or any third party relating to the Licensed Application or the End-User's possession and/or use of that Licensed Application, including, but not limited to:

• Product liability claims;
• Any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and
• Claims arising under consumer protection, privacy, or similar legislation.

8. Intellectual Property Rights

You acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, ZEALDS LLC, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

9. Legal Compliance & U.S. Export Controls

You represent and warrant that:

• You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and
• You are not listed on any U.S. Government list of prohibited or restricted parties.

10. Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, as well as Google, and Google's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of the EULA, Apple and Google will have the right (and will be deemed to have accepted the right) to enforce the EULA against you as a third-party beneficiary thereof.
